Terms of service

These terms govern your use of Softified Stores, an online store platform operated by Softified Software Development And Consulting Group Private Limited, Tokha 5, Kathmandu, Nepal ("Softified", "we", "us"). The platform includes our website, the store admin and the public storefronts that run on it (together, the "Service"). By creating an account, signing in and accepting these terms, or by using the Service, the shop owner agrees to them on behalf of the business that runs the shop ("you"). If you do not agree, do not use the Service.

1. Your account

  • Only the shop owner accepts these terms. The owner is responsible for everything done through the shop's admin, including the actions of staff the owner invites.
  • Keep sign-in details private and use the security options we offer, such as sign-in codes. Tell us straight away if you think someone else has access.
  • Give accurate business and contact details and keep them up to date.
  • You must be old enough to make a binding contract where you live, and you must have the authority to bind the business.

2. Your business must be lawful

  • You confirm that the business running the shop is registered and allowed to sell online where it operates, and that you follow the laws that apply to it, including registration, tax (PAN or VAT), consumer protection, electronic transactions, privacy and e-commerce rules. In Nepal these include the Consumer Protection Act, 2075, the Electronic Transactions Act, 2063 and the Individual Privacy Act, 2075.
  • We may ask for proof of registration and identity, and we may limit or suspend features until we have it.
  • You must follow the Acceptable use policy, which is part of these terms.

3. Selling through your shop

  • You set your products, prices, delivery, returns and policies. Sales are contracts between you and your shoppers. Softified is not a party to them and is not responsible for the goods, their delivery, their quality or refunds.
  • Show shoppers your business name, contact details, prices including tax and delivery costs, and your return and refund terms before they pay.
  • Payments go to the payment provider you connect. You are responsible for your account with that provider and for its terms.
  • You are responsible for the tax you owe on your sales and for issuing any invoices the law requires.

4. Your content and your data

  • You own the products, images, text and shopper data you put into your shop. You allow us to store, process, copy and display them only as needed to run the Service for you.
  • You promise you have the right to use everything you upload and that it does not break anyone's rights or the law.
  • For your shoppers' personal data, you decide why and how it is used and we process it for you, as described in the Privacy policy. You must give your shoppers the notices and get the consent the law requires.
  • You can export your data and ask for your shop to be closed. A closed shop is kept for at least 30 days, then permanently removed.

5. Our service and our property

  • The software, design, brand and documentation of Softified Stores belong to Softified. We give you a limited, non-exclusive right to use the Service for your business while your account is active.
  • You may not copy or resell the Service, reverse engineer it, or use it to build a competing product.
  • If you send us ideas or feedback, we may use them without owing you anything.

6. Third-party services

The Service works with outside providers, such as payment gateways, text message and email delivery, delivery partners and domain services. Their services follow their own terms and prices. We are not responsible for them, and we may change which providers we support.

7. Fees and taxes

Each plan has a price, a billing cycle and limits on products, orders, storage, staff and text messages. They are shown to you when you choose a plan and on your invoices. Prices may be shown without tax, and you pay the tax that applies. We tell you before a price or limit changes. If a payment is late, your shop keeps running through a grace period and may then be limited or suspended until the payment is made. Fees already paid are not refunded unless the law requires it.

8. Service availability and support

We work to keep Softified Stores available and secure, but we do not promise uninterrupted service. We may change, improve or remove features, and we will give notice of changes that seriously affect you. Help is available through the help centre and by email.

9. Suspension and ending

  • We may suspend or close a shop that breaks these terms or the Acceptable use policy, puts shoppers or the platform at risk, or has to be stopped by law.
  • You may stop using the Service at any time. Fees for the period already started are still due.
  • When a shop closes, you should export what you need first. Parts of these terms that are meant to continue, such as those on payment, ownership and liability, continue after the shop closes.

10. Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we do not promise that it will be error-free, that it will meet every need, or that it will bring you any level of sales.

11. Limits on our responsibility

  • To the extent the law allows, Softified is not liable for lost profits, lost sales or indirect losses, and our total liability for any claim is limited to the fees you paid for the Service in the 3 months before the claim.
  • You agree to cover claims and losses that come from your products, your content, your sales or your breach of these terms or the law.
  • Nothing here limits liability that cannot be limited by law.

12. Changes to these terms

When we change these terms, we publish the new version and the shop owner is asked to accept it the next time they sign in. Using the Service after that means you accept the new version.

13. General

  • These terms, with the Privacy policy and the Acceptable use policy, are the whole agreement between you and Softified about the Service.
  • If part of these terms cannot be enforced, the rest still applies. If we do not enforce a right straight away, we have not given it up.
  • You may not transfer your account to someone else without our written agreement. We may transfer our rights to a successor of our business.
  • We are not responsible for delays or failures caused by events outside our control.
  • We send notices to the email address on your account, and we may also show them in the admin.

14. Law and contact
